Content Use Terms

In brief. By accepting these terms — by ticking the box at registration or by submitting a publication — the creator assigns to the platform the exclusive rights in the material of their publications that moderation has accepted, including publications submitted before these terms were accepted, and permits the use of their image, voice, name and username in them, including in advertising. Where there are grounds to suspect a breach, the platform may remove a publication from payment (clause 4.5). The details are in sections 2, 4 and 7.

1. Parties and definitions

1.1. The platform is SlayContent, operated by an individual entrepreneur registered in Georgia, identification number 304824821. Contact: support@slaycontent.com.

1.2. The creator is a person registered on the platform who has accepted these terms at registration or by submitting a publication (section 7).

1.3. The creator's publication is a publication the creator submitted to the platform themselves or that a member of platform staff added on the creator's behalf, including before the creator accepted these terms. For one added by staff, submission in these terms means the moment it was added.

1.4. The material is the video or slideshow available at the publication link, together with its audio, text, caption, cover and design, and the files of that video or slideshow that the creator provides to the platform under clause 2.5.

2. What the creator gives the platform

2.1. The creator assigns to the platform all exclusive rights in the material — copyright and related rights, including the performer's rights in the creator's own performance and the rights of the maker of the recording — for the full term of those rights and throughout the world. Where applicable law does not permit such an assignment, the creator instead grants the platform an exclusive, perpetual, worldwide and irrevocable licence of the widest scope the law permits, which the platform may transfer and sublicense without restriction. The rights pass at the moment set out in clause 4.1; payment for them is under clause 2.6.

2.2. The platform may use the material in any manner and for any purpose: in advertising, including paid advertising, in any advertising system and through the creator's publication, on websites, in apps, in outdoor advertising and on television, in promoting and selling its own services, in examples and training materials for creators — on any media and platforms now existing or later developed. The platform is not obliged to use the material, nor to name the creator or give their username.

2.3. The platform may pass these rights on to anyone — the campaign client, its agencies and contractors, other companies — in whole or in part, on an exclusive or non-exclusive basis, without asking or notifying the creator. Those receiving the rights may pass them on further on the same terms. Clients and everyone to whom rights are passed may rely on these terms directly; the creator makes no claim against them for use of the material within these terms.

2.4. The platform and those receiving the rights may modify the material in any way, for example: edit, crop, change aspect ratio and speed, remove sections, add subtitles, translation, voice-over, music and brand design elements, combine it with other material, and process it with software, including artificial intelligence.

2.5. The platform may keep a copy of the material and use it after the campaign ends and after the publication is removed from the social network. At the platform's request, the creator provides, within three business days, the original file of the material without the social network's watermark and, where the material contains third-party music (clause 5.2), also a version without it.

2.6. The reward under the campaign rules is full payment for everything the creator gives under these terms: the rights in the material, the permission under clause 2.8, the advertising code under clause 2.9 and the files under clause 2.5. These terms require no other payments or royalties, to the extent the law permits. A reward that has accrued is treated as received in payment for the rights, regardless of how the platform later uses the material, except a reward cancelled when the publication is removed from payment (clause 4.5). The rights are also given in exchange for access to the platform and the opportunity to take part in campaigns, so they pass even where, under the rules for allocating the budget, the reward for the publication is zero. For publications submitted before these terms were accepted (clause 7.4), full payment for the rights in the material and the permission under clause 2.8 is the reward accrued for those publications under the rules of their campaigns, together with access to the platform and the opportunity to take part in campaigns going forward.

2.7. A publication that has not been accepted. Until moderation has accepted the publication for the first time — from submission until the first acceptance, or indefinitely if there is never one — the creator grants the platform a non-exclusive, perpetual, worldwide and irrevocable licence over the material for the same uses as in clauses 2.2–2.4, with the right to pass it on and to keep a copy. The permission under clause 2.8 applies here too. The licence is granted in exchange for access to the platform and the opportunity to take part in campaigns, and applies even where no reward accrues.

2.8. Image, voice, name and username. The creator permits the platform, and anyone to whom the platform passes rights under clause 2.3, to use the creator's image, likeness, voice, name and username as they appear in or accompany the material (the caption, and the username and avatar of the account on which the publication went live), in the ways described in clauses 2.2–2.4, including in paid advertising and in advertising run through the creator's own publication, such as Spark Ads or partnership ads, throughout the world and for as long as the rights in the material last, without further approval or payment.

This permission forms part of the transaction under these terms and is paid for by the reward (clause 2.6); it is not revocable. If mandatory law nevertheless gives the creator a right to withdraw it, the withdrawal applies only for the future and does not affect advertising launched before it, copies passed on before it, or materials produced before it.

The creator's image, voice, name and username are used only together with the creator's own material: other people's videos may not be presented under the creator's name. This permission gives no right to create a digital replica of the creator — a new image or voice that says or does what is not in the material; translation and voice-over of the material itself (clause 2.4) are permitted.

2.9. Advertising code. At the platform's request, the creator provides, within three business days, the code or approval needed to run advertising through their publication — such as a Spark Ads code or a partnership ads approval — for the period specified by the platform, and does not revoke it before that period ends. Throughout that period the creator does not delete, hide or change the publication. The code is covered by the reward (clause 2.6). Refusing to provide the code, revoking it early, or deleting or changing the publication during that period is a breach of these terms: the platform may withdraw the creator's access to the platform (clause 12.2 of the Platform Terms).

3. What the creator keeps

3.1. The creator remains the author of the material. The creator permits the material to be released without their name or username, under the brand's name, in modified form and combined with other material (clause 2.4), and permits such modifications in advance. To the extent permitted by law, the creator does not exercise moral rights in the material against the platform, clients or those to whom rights are passed.

3.2. The platform permits the creator, free of charge and without time limit, to keep the publication on their own social accounts and show the material in their own portfolio as an example of their work. This permission is non-exclusive and not transferable; it allows no other commercial use of the material.

3.3. Once the rights have passed, the creator does not transfer the material or any part of it to others, does not license it, does not upload it to other accounts, stock sites or libraries, and does not give advertising codes for their publication to anyone other than the platform and those it names. From submission of the publication until the moderation decision, the creator does not dispose of the material either.

3.4. If the publication was rejected and moderation never accepted it, the creator may not transfer or license this material to other advertisers, agencies or platforms for commercial use.

4. When the rights pass, and what they survive

4.1. The rights under clause 2.1 pass to the platform at the moment moderation first accepts the publication. If moderation first accepted the publication before the creator accepted these terms, the rights in its material pass at the moment these terms are accepted (clause 7.4). If the acceptance is later reversed or the publication is later rejected, the rights do not return to the creator. Until the first acceptance, the licence under clause 2.7 applies.

4.2. The passing of the rights does not depend on whether a reward has accrued or been paid. If an accrued reward has not been paid, the creator may claim the money — except the reward for a publication removed from payment (clause 4.5) — but not the return of the rights or a ban on using the material; the same applies, to the extent the law permits, in any other dispute over the material.

4.3. The rights, the licence and the permission under clause 2.8 remain in force whatever follows: the campaign ending or being cancelled, the Platform Terms ending, the creator's account being closed, deleted or suspended, or the publication being removed by the creator or by the social network. They also apply against the creator's heirs and successors.

4.4. The rights and the licence are not revocable; nor is the permission under clause 2.8, subject to the reservation in that clause.

4.5. Removal from payment. The platform may remove a creator's publication from payment if it has grounds to suspect a breach of these terms, the Platform Terms or the law — for example, inflated metrics, someone else's account or someone else's material. The platform is not obliged to prove this to the creator or to disclose its information. A publication removed from payment is rejected: its accrual is cancelled, the amount already paid for it — and no more — is withheld from future payments to the creator, and the platform no longer uses its material except to deal with a dispute; material already passed to the campaign client remains with the client. A publication may be removed from payment until its amount becomes final under the Platform Terms and for 90 days after that, and where a claim of infringement of rights in the material is made — at any time. The creator may dispute a removal once, by writing to support@slaycontent.com within 5 days of the day the creator first opens their account after the rejection; the platform will reply within 10 business days. Unlike clause 7.4, this clause applies only to the publication on whose submission the creator accepted these terms and to all publications submitted later. It applies under any edition of the Platform Terms and, as regards removal from payment, prevails over it; where the Platform Terms contain the same rule, this is one removal, not two.

5. What the creator confirms

5.1. The creator made the material, except for materials the platform provided for that campaign and third-party elements under clause 5.2, and is entitled to give these rights. If others took part in making the material — a camera operator, an editor, a co-author — they have given the creator the rights these terms require. The material has not been given to anyone before and was not made to order or under an employment contract for anyone else. In the material of publications submitted before these terms were accepted, the creator has not, before accepting them, assigned exclusive rights to anyone or granted exclusive licences, and informs the platform at its request of any non-exclusive licences granted earlier. The creator is 18 or older.

5.2. The creator has not infringed anyone's rights: music, third-party footage, images, fonts and trademarks are used lawfully. Music and sounds from social network libraries, and other third-party music whose rights the creator cannot assign, are not part of the assignment under clause 2.1: in them the platform receives only what the creator is entitled to give, and may cut or replace them. The creator provides a version of the material without such music under clause 2.5.

5.3. If anyone other than the creator is recognisable in the material, the creator holds written permission, including electronic permission, from each such person — and for a minor, from their legal representative — to use their image and voice in the ways described in clauses 2.2–2.4 and 2.8, including in advertising. The creator keeps these permissions and shows them to the platform on request.

5.4. If any of the confirmations in clauses 5.1–5.3 proves untrue, the creator compensates the platform, clients and everyone to whom rights are passed for the losses they suffer as a result: amounts of claims and settlements, fines and legal costs — to the extent the law permits.

6. What the platform does not promise

6.1. The platform does not guarantee it will obtain a copy of the material without the social network's watermark: this depends on the publication remaining available, on the technical means available, and on the rules of the social network itself.

6.2. The platform is not obliged to store the material and is not responsible for its removal by the social network.

7. How these terms are accepted, and which version applies

7.1. The creator accepts these terms at registration on the platform — with the same required box by which the creator confirms their age and accepts the Platform Terms. The wording of the box: "I am 18 or older. I accept the Platform Terms and the Content Use Terms and I have read the Privacy Policy." Registration is not possible unless the box is ticked.

7.2. Acceptance at registration covers all of the creator's publications that the creator submits later, and publications that a member of platform staff adds on the creator's behalf. The rights in each such publication pass to the platform at its first acceptance (clause 4.1).

7.3. In addition, the creator confirms these terms with each publication the creator submits themselves. The submission form shows, next to the submit button, links to these terms and to the Platform Terms and this wording: "By submitting this publication, you accept the Platform Terms and the Content Use Terms." Submitting a publication with this wording shown is acceptance of these terms and of the Platform Terms.

7.4. A person who registered on the platform before this version was issued and did not accept it at registration accepts these terms on first submitting a publication with the wording under clause 7.3 shown. From that moment these terms apply to all of that person's publications, including those added by staff on their behalf: to that publication, to all later ones and to all those submitted earlier. The rights under clause 2.1 and the permission under clause 2.8 extend to the material of publications submitted earlier: if moderation has already accepted such a publication, at the moment these terms are accepted; otherwise under clauses 2.7 and 4.1. The rights and the licence the platform received in those publications under an earlier version remain.

7.5. The version of these terms that applies to a publication:

  • submitted by the creator after accepting this version — the version shown to the creator on submission;
  • added by staff after the creator accepted this version — the latest version the creator accepted before it was added;
  • submitted or added before the creator accepted this version — this version, from the moment it was accepted (clause 7.4). The platform records the version number, the language, the fingerprint of the text, the time, the IP address and the browser of each acceptance.

7.6. Any change is issued as a new version. It does not affect publications submitted before it was accepted — the earlier version applies to them — unless the new version itself expressly extends to earlier publications, as this version does under clause 7.4.

7.7. Ticking the box at registration and submitting a publication under clauses 7.1–7.4 are the creator's simple electronic signature, and these terms are treated as concluded in writing. At the platform's request, the creator signs, following the platform's template, a separate document on the assignment of rights and the permission under clause 2.8; such a document does not extend these terms.

8. Language and law

8.1. These terms exist in Russian and English, and both versions have equal force. In the event of a discrepancy, the version in the language in which the creator accepted the terms that apply to the publication in question prevails (section 7).

8.2. Georgian law applies to these terms. If mandatory rules of law that apply to the creator do not permit any of these terms, that term applies to the widest extent permitted, and the remaining terms apply in full.
